Bayer und Monsanto haben am Mittwoch eine bindende Fusionsvereinbarung unterzeichnet, die Bayer die Übernahme von Monsanto für 128 US-Dollar je Aktie in bar ermöglicht. Die Mitglieder des Board of Directors (Verwaltungsrat) von Monsanto sowie Vorstand und Aufsichtsrat von Bayer haben die Einigung einstimmig beschlossen. Gemessen am Schlusskurs der Monsanto-Aktie am 9. Mai 2016, dem Tag vor dem ersten schriftlichen Angebot von Bayer, enthält das Angebot eine Prämie von 44 Prozent auf den damaligen Kurs.

Bessere Lösungen für Landwirte
Die Transaktion bringt zwei unterschiedliche, aber sich in hohem Maß ergänzende Geschäfte zusammen. Gemeinsam profitieren sie sowohl von Monsantos führenden Positionen in den Bereichen Saatgut und Pflanzeneigenschaften sowie Digitaler Landwirtschaft (Climate Corporation) als auch von der großen Bandbreite an Indikationen und Kulturen im Pflanzenschutz-Portfolio von Bayer in allen wichtigen Regionen. Die Vorteile für Landwirte liegen in einem umfassenden Angebot an Lösungen für den heutigen wie den künftigen Bedarf - einschließlich besserer Lösungen bei hochwertigem Saatgut, Pflanzeneigenschaften, digitaler Landwirtschaft und Pflanzenschutz.

Die Kombination bringt darüber hinaus die führenden Innovationskompetenzen und Technologieplattformen für Forschung und Entwicklung beider Unternehmen zusammen. Gemeinsam verfügen sie pro-forma über ein geschätztes jährliches Forschungs- und Entwicklungsbudget von 2,5 Milliarden Euro in diesem Bereich. Mittel- bis langfristig wird das gemeinsame Unternehmen Innovationen schneller bereitstellen und seinen Kunden bessere Lösungen und ein optimiertes Produktangebot auf Basis landwirtschaftlicher Analyse sowie unterstützender Anwendungen aus der digitalen Landwirtschaft anbieten können. Diese Entwicklungen bedeuten grundlegende und nachhaltige Verbesserungen für die Landwirte: von der einfacheren Beschaffung und Handhabung über den effizienteren Ressourceneinsatz bis hin zu höheren Ernteerträgen sowie mehr Umweltschutz und Nachhaltigkeit.

Wertschaffung
Beide Unternehmen erzielten im Kalenderjahr 2015 zusammengerechnet pro-forma einen Umsatz von 23 Milliarden Euro im Agrargeschäft. Das kombinierte Unternehmen ist sehr gut positioniert, um am Agrarsektor und dessen erheblichem langfristigem Wachstumspotenzial teilzuhaben. Neben dem langfristigen Wertschaffungspotenzial durch den Zusammenschluss erwartet Bayer, dass seine Aktionäre von einem positiven Beitrag zum bereinigten Ergebnis je Aktie im ersten vollen Jahr nach Abschluss der Transaktion profitieren werden. Für das dritte volle Jahr wird ein positiver Beitrag im zweistelligen Prozentbereich erwartet. Bayer hat die Annahmen zu Umsatz- und Kostensynergien durch eine Unternehmensprüfung bestätigt und erwartet jährliche Beiträge zum EBITDA aus Synergien in Höhe von 1,5 Milliarden US-Dollar nach dem dritten Jahr nach Abschluss der Transaktion. Zusätzliche Synergien aufgrund des integrierten Angebots werden in den Folgejahren erwartet.

Finanzierungs- und Abschlussbedingungen
Bayer plant die Finanzierung der Transaktion durch eine Kombination aus Fremd- und Eigenkapital. Der Eigenkapitalanteil von rund 19 Milliarden US-Dollar wird voraussichtlich durch eine Bezugsrechtskapitalerhöhung und Pflichtwandelanleihen finanziert. Die Brückenfinanzierung über 57 Milliarden US-Dollar wurde von BofA Merrill Lynch, Credit Suisse, Goldman Sachs, HSBC und JP Morgan garantiert.

In der Vergangenheit hat Bayer nach Großübernahmen stets eine hohe Entschuldungsdisziplin unter Beweis gestellt. Das Unternehmen geht davon aus, dass der hohe Cashflow des zusammengeführten Geschäfts das Finanzprofil von Bayer verbessern wird. Bayer strebt ein Investment-Grade-Rating nach Vollzug der Transaktion an. Das langfristige Ziel eines Kreditratings der "A"-Kategorie bleibt unverändert.

Die Transaktion unterliegt üblichen Vollzugsbedingungen, einschließlich der Zustimmung durch die Monsanto-Aktionäre zur Fusionsvereinbarung und aller notwendigen behördlichen Freigaben. Der Abschluss der Transaktion wird bis Ende 2017 erwartet. Beide Unternehmen werden eng mit den Regulierungsbehörden zusammenarbeiten, um einen erfolgreichen Abschluss zu erzielen. Gleichzeitig hat Bayer Monsanto eine Zahlung in Höhe von 2 Milliarden US-Dollar für den Fall zugesichert, dass die notwendigen Kartellfreigaben nicht erteilt werden sollten (Reverse Antitrust Break Fee), und bekräftigt damit die Zuversicht in eine erfolgreiche Übernahme.

Unternehmenssitz und Mitarbeiter
Der Hauptsitz der weltweiten Saatgutsparte des gemeinsamen Unternehmens sowie die Nordamerika-Zentrale des Crop-Science-Geschäfts sollen in St. Louis, Missouri, USA, angesiedelt sein. Der weltweite Bereich Pflanzenschutz sowie die Division Crop Science insgesamt werden aus Monheim, Deutschland, geführt. Darüber hinaus wird Crop Science neben Durham, North Carolina, USA, zahlreiche weitere Standorte in den USA und weltweit betreiben. Der Bereich Digital Farming des kombinierten Geschäfts wird seinen Sitz in San Francisco, Kalifornien, USA, haben.

Bayer and Monsanto today announced that they signed a definitive merger agreement under which Bayer will acquire Monsanto for USD 128 per share in an all-cash transaction. Monsanto’s Board of Directors, Bayer’s Board of Management and Bayer’s Supervisory Board have unanimously approved the agreement. Based on Monsanto’s closing share price on May 9, 2016, the day before Bayer’s first written proposal to Monsanto, the offer represents a premium of 44 percent to that price.

Enhanced Solutions for Growers
This transaction brings together two different, but highly complementary businesses. The combined business will benefit from Monsanto’s leadership in Seeds & Traits and Climate Corporation platform along with Bayer’s broad Crop Protection product line across a comprehensive range of indications and crops in all key geographies. As a result, growers will benefit from a broad set of solutions to meet their current and future needs, including enhanced solutions in seeds and traits, digital agriculture, and crop protection.

The combination also brings together both companies’ leading innovation capabilities and R&D technology platforms, with an annual pro-forma R&D budget of approximately EUR 2.5 billion. Over the mid to long-term, the combined business will be able to accelerate innovation and provide customers with enhanced solutions and an optimized product suite based on analytical agronomic insight supported by Digital Farming applications. These are expected to result in significant and lasting benefits for farmers: from improved sourcing and increased convenience to higher yield, better environmental protection and sustainability.

Value Creation
Pro forma sales of the combined agricultural business amounted to EUR 23 billion in calendar year 2015. The combined company will be well positioned to participate in the agricultural industry with significant long-term growth potential. Beyond the attractive long term value creation potential of the combination, Bayer expects the transaction to provide its shareholders with accretion to core EPS (earnings per share) in the first full year after closing and a double-digit percentage accretion in the third full year. Bayer has confirmed sales and cost synergies assumptions in due diligence and expects annual EBITDA contributions from total synergies of approximately USD 1.5 billion after year three, plus additional synergies from integrated solutions in future years.

Financing and Closing Conditions
Bayer intends to finance the transaction with a combination of debt and equity. The equity component of approximately USD 19 billion is expected to be raised through an issuance of mandatory convertible bonds and through a rights issue with subscription rights. Bridge financing for USD 57 billion is committed by BofA Merrill Lynch, Credit Suisse, Goldman Sachs, HSBC and JP Morgan.

Bayer has a proven track record of disciplined deleveraging after large acquisitions and believes that the strong cash flows of the combined business will contribute to improving its financial profile. Bayer targets an investment grade credit rating post-closing and is committed to the single “A” credit rating category over the long-term.

The acquisition is subject to customary closing conditions, including Monsanto shareholder approval of the merger agreement and receipt of required regulatory approvals. Closing is expected by the end of 2017. The companies will work diligently with regulators to ensure a successful closing. In addition, Bayer has committed to a USD 2 billion reverse antitrust break fee, reaffirming its confidence that it will obtain the necessary regulatory approvals.

Headquarters and Employees
The combined agriculture business will have its global Seeds & Traits and North American commercial headquarters in St. Louis, Missouri, its global Crop Protection and overall Crop Science headquarters in Monheim, Germany, and an important presence in Durham, North Carolina, as well as many other locations throughout the U.S. and around the world. The Digital Farming activities for the combined business will be based in San Francisco, California.
